(Commercial Terms, Intellectual Property, Suspension, Termination & Legal Provisions)
The Teacher expressly agrees that:
This Agreement shall remain valid for an initial minimum period of One (1) Year from the Effective Date ("Minimum Commitment Period").
The Teacher voluntarily commits to remain associated with SPEAXA throughout the Minimum Commitment Period.
During the Minimum Commitment Period, the Teacher shall discharge all academic, operational and professional responsibilities assigned under this Agreement.
The Teacher shall not voluntarily resign, withdraw or discontinue the engagement during the Minimum Commitment Period without the prior written consent of SPEAXA.
The Teacher shall complete all ongoing batches, programmes and academic commitments before seeking disengagement.
After completion of the Minimum Commitment Period, the Teacher shall provide a minimum of 90 days' written notice before discontinuing the engagement.
SPEAXA may waive or reduce the notice period at its sole discretion.
Nothing contained herein shall restrict SPEAXA from suspending or terminating the Teacher for breach of this Agreement, misconduct, poor performance or any conduct prejudicial to SPEAXA.
The Teacher acknowledges that:
Commercial terms shall be governed through the SPEAXA Teacher Dashboard.
Revenue sharing shall be communicated through the Dashboard.
Incentive policies shall be displayed through the Dashboard.
Performance incentives may vary from time to time.
Payment schedules shall be displayed on the Dashboard.
Tax deductions shall be made in accordance with applicable laws.
SPEAXA reserves the right to revise commercial policies.
Continued association after publication of revised policies shall constitute acceptance of such revisions.
No verbal assurance regarding remuneration shall be binding unless reflected on the Dashboard or communicated officially.
The Teacher agrees that:
Payments shall be processed only through approved banking channels.
Payments shall be released only after completion of applicable verification procedures.
SPEAXA may withhold payments where there are unresolved disputes, policy violations or incomplete academic obligations.
Any excess payment made due to technical or administrative error may be recovered from future payouts.
The Teacher shall be responsible for compliance with personal taxation requirements wherever applicable.
The Teacher expressly acknowledges and agrees that:
Every Batch Plan, Module Plan, Chapter Plan, Day-wise Lesson Plan, Weekly Plan, Teaching Schedule, Academic Calendar, Question Bank, Worksheet, Presentation, Assessment, Assignment, Model Answer, Teaching Note and every other academic document prepared and submitted to SPEAXA shall become the exclusive intellectual property and business asset of SPEAXA.
Every PDF submitted by the Teacher shall be deemed to have been permanently assigned to SPEAXA for educational and commercial use.
The Teacher irrevocably assigns all rights, title and interest in such academic material to SPEAXA.
SPEAXA shall have unrestricted rights to edit, modify, improve, digitise, translate, reproduce, distribute, publish, archive, reuse, commercialise and integrate such material into future educational programmes.
The Teacher shall not claim copyright, royalty, licence fee or additional compensation over any academic material prepared specifically for SPEAXA.
The Teacher shall not reproduce or commercially exploit such material outside SPEAXA without prior written approval.
Academic material prepared for SPEAXA shall remain the permanent asset of SPEAXA even after termination of this Agreement.
The Teacher agrees that:
Every live class may be recorded by SPEAXA.
All recordings shall remain the exclusive property of SPEAXA.
Whiteboard content shall belong to SPEAXA.
Digital notes shall belong to SPEAXA.
Presentations created for SPEAXA shall belong to SPEAXA.
Teaching demonstrations shall belong to SPEAXA.
Audio recordings shall belong to SPEAXA.
Video recordings shall belong to SPEAXA.
Assessment recordings shall belong to SPEAXA.
SPEAXA may reuse such recordings for quality improvement, teacher training, marketing, future courses or academic support.
The Teacher shall have no objection to such use.
The Teacher shall:
Protect student information.
Protect parent information.
Protect institutional information.
Follow applicable data privacy laws.
Never download confidential databases without authorization.
Never share login credentials.
Immediately report any suspected data breach.
Use student information only for authorised educational purposes.
The Teacher agrees that SPEAXA may:
Observe live classes.
Review recorded classes.
Conduct surprise audits.
Evaluate lesson plans.
Verify attendance records.
Review parent feedback.
Review student feedback.
Review assessment quality.
Conduct periodic academic inspections.
Recommend corrective measures.
The Teacher shall fully cooperate during every audit.
The Teacher acknowledges that performance may be evaluated on the basis of:
Student learning outcomes.
Student attendance.
Parent satisfaction.
Student satisfaction.
Class engagement.
Assignment quality.
Timely dashboard updates.
Academic planning.
Punctuality.
Professional conduct.
Batch completion rate.
Student retention.
Complaint history.
Compliance with SOP.
Overall contribution to SPEAXA.
The Teacher shall:
Attend mandatory orientation programmes.
Attend teacher training workshops.
Participate in academic review meetings.
Upgrade subject knowledge regularly.
Learn new digital teaching methods.
Adopt technology recommended by SPEAXA.
Continuously improve classroom effectiveness.
The following shall constitute material breach:
Disclosure of confidential information.
Student solicitation.
Parent solicitation.
Batch abandonment.
Poor academic conduct.
Falsification of records.
Academic dishonesty.
Misrepresentation.
Sharing copyrighted material without permission.
Misuse of SPEAXA brand.
Harassment.
Discrimination.
Financial misconduct.
Data theft.
Platform misuse.
Violation of any clause of this Agreement.
SPEAXA may immediately suspend the Teacher:
During investigation.
For repeated complaints.
For serious misconduct.
For academic negligence.
For violation of confidentiality.
For breach of ethics.
For misuse of student information.
For damage to SPEAXA's reputation.
For violation of platform policies.
Suspension may be temporary or permanent.
SPEAXA may terminate this Agreement:
For breach of this Agreement.
For misconduct.
For poor teaching quality.
For repeated policy violations.
For criminal conduct.
For fraud.
For unethical behaviour.
For prolonged inactivity.
For reputational harm.
Upon termination:
Teacher access shall cease immediately.
Platform credentials shall be deactivated.
Confidentiality obligations shall survive.
Intellectual property rights shall remain with SPEAXA.
Academic material shall remain with SPEAXA.
Ongoing payment settlements shall be processed subject to policy compliance.
The Teacher shall indemnify and hold SPEAXA harmless against:
Losses.
Damages.
Claims.
Legal proceedings.
Costs.
Penalties.
Liabilities.
arising from:
Breach of this Agreement.
Negligence.
Misconduct.
Violation of law.
Intellectual property infringement.
Data breach caused by the Teacher.
The Teacher agrees that:
SPEAXA shall not be liable for indirect or consequential losses.
SPEAXA shall not guarantee any fixed income.
SPEAXA shall not guarantee continuous student enrolments.
SPEAXA shall not guarantee uninterrupted platform availability due to circumstances beyond reasonable control.
Neither Party shall be liable for delay or failure caused by:
Natural disasters.
War.
Pandemic.
Government restrictions.
Internet failures beyond reasonable control.
Cyber attacks.
Power failures.
Civil disturbances.
Any event beyond reasonable control.
The Parties agree that:
This Agreement shall be governed by the laws of India.
Any dispute shall first be resolved through mutual discussion.
Failing such resolution, disputes may be referred to mediation or arbitration as determined by SPEAXA.
Courts having jurisdiction over the registered office of SPEAXA alone shall have exclusive jurisdiction.
The Teacher agrees that:
Electronic acceptance constitutes legal execution.
OTP verification constitutes digital signature.
Login authentication constitutes acceptance.
Platform records shall be admissible evidence of acceptance.
No handwritten signature shall be necessary.
The Teacher acknowledges that:
This Agreement, together with its Annexures and Dashboard Policies, constitutes the complete understanding between the Parties.
Previous verbal discussions shall not override this Agreement.
Amendments shall be effective upon publication by SPEAXA or written communication.
The Teacher hereby declares that:
I have carefully read this Agreement.
I have read the Agreement at least twice before accepting it.
I understand every clause.
I voluntarily agree to all obligations.
I shall abide by the academic, professional and ethical standards prescribed by SPEAXA.
I understand that this is a legally binding electronic agreement.
I agree that all lesson plans, teaching plans, academic documents and educational resources created and submitted by me for SPEAXA shall remain the exclusive property of SPEAXA.
I understand that my association with SPEAXA is based on trust, professionalism, quality education and long-term commitment.
