(General Terms, Partnership, Confidentiality, Ethics & Teacher Obligations)
Before accepting this Agreement, the Teacher expressly acknowledges and agrees that:
Read every clause carefully.
Read this Agreement at least TWO (2) times before clicking "I Agree."
If any clause is unclear, seek clarification from SPEAXA before accepting.
Do not accept this Agreement unless you agree with every provision contained herein.
Your acceptance through electronic means shall constitute your legally valid consent.
Clicking "I Agree", OTP verification, digital authentication or any other electronic confirmation shall be deemed your legal signature.
This Agreement shall be enforceable under the provisions of the Information Technology Act, 2000, the Indian Contract Act, 1872 and other applicable laws of India.
By accepting this Agreement, you acknowledge that you have voluntarily entered into this Agreement without any coercion, undue influence or misrepresentation.
This Teacher Partnership & Governance Agreement ("Agreement") is entered into between:
SPEAXA, its successors, assigns and affiliates (hereinafter referred to as "SPEAXA" or "Platform")
The individual registering as a Teacher on the SPEAXA Platform (hereinafter referred to as the "Teacher", "Education Partner" or "Partner Teacher").
Collectively referred to as "Parties."
The purpose of this Agreement is to establish the rights, duties, obligations, responsibilities and governance framework governing the Teacher's association with SPEAXA.
The Teacher acknowledges that SPEAXA operates as a professionally governed educational platform and every Teacher is expected to comply with the standards prescribed herein.
The Teacher expressly agrees that:
This Agreement does not create an employer-employee relationship.
The Teacher shall function as an Independent Education Partner.
Nothing contained herein shall constitute partnership under the Partnership Act.
The Teacher shall not represent himself/herself as an employee of SPEAXA.
The Teacher shall not make commitments on behalf of SPEAXA without written authorization.
SPEAXA retains complete control over academic governance, platform policies, quality standards and operational procedures.
For the purposes of this Agreement:
Platform means the SPEAXA website, mobile application, LMS and all associated digital infrastructure.
Student means any learner registered through SPEAXA.
Parent includes guardian or authorized representative of a Student.
Batch means any live, recorded, hybrid, chapter-based, examination or skill-development class offered through SPEAXA.
Module means any structured academic content approved by SPEAXA.
Dashboard means the Teacher Dashboard, Parent Dashboard and Administrative Dashboard.
Confidential Information includes all business, commercial, academic, financial and technological information belonging to SPEAXA.
The Teacher agrees to uphold the following principles:
Student welfare shall remain the highest priority.
Teaching shall always be concept-based rather than rote learning.
Every student deserves equal respect.
Every parent deserves transparency.
Technology shall support teaching and not replace human interaction.
Every class shall aim to improve curiosity, confidence, communication and academic performance.
The Teacher shall uphold the reputation of SPEAXA at all times.
The Teacher shall:
Act honestly, ethically and professionally.
Maintain integrity in all academic activities.
Respect students irrespective of gender, religion, caste, region or economic background.
Avoid abusive, offensive or discriminatory language.
Protect student dignity.
Avoid favouritism.
Demonstrate patience and professionalism.
Continuously improve teaching quality.
The Teacher shall keep strictly confidential all information belonging to SPEAXA including but not limited to:
Business model.
Revenue model.
Commission structure.
Teacher compensation.
Student database.
Parent database.
Teacher database.
Marketing strategy.
Business strategy.
Pricing strategy.
Admission strategy.
Sales process.
Teacher onboarding process.
Platform architecture.
Website structure.
Mobile application.
Technology stack.
Internal software.
AI systems.
SOPs.
Governance framework.
Internal reports.
Dashboards.
Student analytics.
Parent analytics.
Internal meetings.
Business plans.
Financial projections.
Investor discussions.
Product roadmap.
Source code.
Educational content not released publicly.
Training material.
Internal manuals.
Any unpublished document of SPEAXA.
The Teacher further agrees:
Not to copy confidential material.
Not to photograph confidential information.
Not to download confidential data without authorization.
Not to share confidential information verbally or electronically.
Not to disclose information to any competing organization.
Not to use confidential information for personal benefit.
The obligations under this clause shall continue even after termination of this Agreement.
The Teacher shall not:
Directly or indirectly solicit SPEAXA students.
Encourage students to discontinue learning through SPEAXA.
Shift students to personal tuition.
Shift students to coaching institutes.
Shift students to competing platforms.
Collect student contact information for private commercial purposes.
Contact parents for independent teaching assignments.
Offer discounts for private tuition.
Promote personal coaching businesses during SPEAXA classes.
Promote any competitor during association with SPEAXA.
Create unofficial paid WhatsApp, Telegram or other groups for SPEAXA students.
Receive direct payments from SPEAXA students.
Conduct off-platform paid classes for students acquired through SPEAXA.
The Teacher agrees that he/she shall:
Disclose any potential conflict of interest.
Inform SPEAXA before joining competing educational platforms where such engagement may affect obligations under this Agreement.
Avoid any activity that may adversely affect SPEAXA's reputation.
Not misuse the SPEAXA brand name for personal gain.
Not falsely represent association with SPEAXA.
The Teacher shall:
Maintain professionalism on social media.
Not publish defamatory content regarding SPEAXA.
Not disclose confidential information online.
Not criticize students publicly.
Not upload class recordings without authorization.
Not use the SPEAXA logo without written approval.
Not create social media pages implying official affiliation without permission.
The Teacher shall:
Respond professionally to students.
Maintain courteous communication with parents.
Use only approved communication channels.
Avoid unnecessary personal communication with students.
Maintain written records wherever required.
Report complaints promptly.
Cooperate with the SPEAXA academic and support teams.
The Teacher agrees to:
Follow all Platform policies.
Follow all future amendments communicated by SPEAXA.
Participate in mandatory orientation programmes.
Participate in teacher development sessions.
Cooperate during audits.
Cooperate during academic reviews.
Cooperate during quality inspections.
Maintain accurate records.
Protect the reputation of SPEAXA.
Act in the best interest of students.
SPEAXA reserves the absolute right to:
Revise academic policies.
Revise SOPs.
Revise governance standards.
Modify platform features.
Introduce new compliance requirements.
Suspend Teacher access for policy violations.
Review classes for quality assurance.
Require additional documentation.
Modify operational procedures whenever necessary.
